1. Agreement to Terms

By accessing helionhq.com or using any Helion service, application, or tool, you agree to these Terms of Service. If you do not agree, do not use our services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.

2. Who We Are

Helion LLC is an AI infrastructure agency based in Missouri. We build custom AI systems, automations, and websites for e-commerce founders. Contact: sutton@helionhq.com.

3. Services

Helion provides AI infrastructure services including, but not limited to:

• AI executive assistant setup and configuration
• Business automation via n8n and integrated tools
• Website design and development
• Meta Ads account management and optimization (via authorized API access)
• Email marketing automation
• Custom AI skills, flows, and integrations

Scope, deliverables, timelines, and pricing for client engagements are defined in separate written agreements or proposals. These Terms govern use of our website and any Helion-built tools or applications.

4. Meta App Usage

Helion operates applications connected to the Meta Business API. By authorizing our Meta app:

• You grant Helion permission to access your Meta ad accounts, pages, and related data as specified during the OAuth authorization flow.
• You represent that you have the authority to grant such access.
• You agree to use the app only for lawful purposes and in compliance with Meta's Platform Terms and Community Standards.
• You are responsible for all activity conducted through your authorized connection.
• You may revoke access at any time through your Facebook App Settings.

Helion is not affiliated with Meta Platforms, Inc. Use of Meta’s platform is also subject to Meta’s own Terms of Service.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Violate any third-party platform's terms of service through our tools
• Attempt to gain unauthorized access to any system or account
• Misrepresent your identity or authority when authorizing our applications
• Use our tools to send spam, run deceptive ads, or violate advertising standards
• Reverse engineer, copy, or resell any Helion-built tool or system without written permission

6. Intellectual Property

All content on helionhq.com -- including text, design, code, and branding -- is owned by Helion LLC and protected under applicable intellectual property law.

For client engagements: deliverables built specifically for a client become that client’s property upon full payment, as outlined in the client agreement. Helion retains rights to underlying frameworks, tools, and methodologies.

7. Disclaimer of Warranties

Our website and services are provided “as is” without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or that results will meet any specific standard. AI systems, automations, and ad management involve inherent variability and Helion cannot guarantee specific revenue, performance, or business outcomes.

8. Limitation of Liability

To the maximum extent permitted by law, Helion LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost profits, lost data, or business interruption. Our total liability for any claim shall not exceed the amount paid by you to Helion in the 30 days preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Helion LLC and its founder from any claims, losses, or expenses (including legal fees) arising from your use of our services, violation of these terms, or violation of any third-party rights.

10. Governing Law

These terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Kansas City, Missouri.

11. Changes to These Terms

We may update these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
